This Public Offer, from now on referred to as the “Offer”, is an official public offer about purchasing or receiving information and consulting services of the public organization “Academy of Family Medicine of Ukraine”, registered in Ukraine, registration number: 42084198, in particular of the chairman Orest Gennadiyovych Kulenych, and third parties involved under the terms of this Offer (from now on referred to as “ГО АСМУ”), which is addressed to an unlimited number of people and is posted on the Internet at this site: https://afm.org.ua, from now on referred to as “Site”, use of the Academy’s Site, and all related aspects.
1. Subject of the contract
1.1. The subject of this contract is the free and voluntary transfer by the Benefactor to the property of the Public Organization of funds by making voluntary Membership contributions aimed at ensuring the Public Organization’s performance of its statutory activities.
1.2. Membership fees have a fixed amount and can be revised no more than once a year.
1.3. The subject of this Agreement is not directly or indirectly receiving profit by any of the Parties to this Agreement.
2. Rights and obligations of the Organization
2.1. The organization is obliged to:
– fulfill the terms of this Contract;
– to use the funds paid in the form of membership fees exclusively for the fulfillment of the Organization’s statutory purpose and the terms of this Contract.
– to update the Site at its own discretion. Add new sections to the Site, and also rules of use, privacy policy, disclaimers, etc.
– post on the Site any verified and approved by the Academy’s management information, which corresponds to the Academy’s statutory activities and the current legislation of Ukraine.
– on the basis of the contact e-mail received from the Participant, carry out mass mailing of information messages without the consent of the Participant and/or people who left their data on the Academy’s website. At the same time, such informational messages contain a link to refuse to receive them.
– unilaterally make changes to the terms of this Offer, including, but not exclusively, changing the rules for payment of funds for the provision of services, making changes to the procedure for providing services, by posting a new version of the Offer on the Site. The new edition of the Offer enters into force from the moment of its publication on the Site, the date of the last update is indicated before the text of the Offer.
3. Rules for using the site and information on the site.
3.1. While using the website of the Academy, each Participant must follow moral and ethical norms, conduct only business correspondence with other Participants in case of discussion of any information topics posted on the Website of the Academy, treat other Members of the Site with respect, not interfere with the statutory activities of the Academy, its separate divisions, members, and partners.
3.2. In case of agreement with the Site administration of information of a medical and/or other nature, the Participant must make sure of the authenticity of such information, check it through trusted sources, etc. The Participant bears full individual responsibility for posting such information, its content, as well as related materials.
3.3. Collection and distribution of any materials from the Academy Site is permitted only if there is a link to the Site’s web address when copying information. When using information from the Academy Site, the relevant Participant bears full responsibility for any attempts to add, change and/or transform otherwise such information during the process and is obliged to independently and at his own expense resolve any disputes with third parties regarding the use of information from the Site, as well as compensate the Academy for any damages caused by such use.
3.4. All information and/or statements is/are posted on the Site without the purpose of obtaining income (profit), except for the cases predicted and not prohibited by the statute of the Academy and the current legislation of Ukraine.
3.5. Information and/or statements is/are posted on the Academy’s Website for the purpose of fulfilling the statutory goals and tasks of the Academy, contribution to the improvement of the information awareness of the Site’s target audience. The target audience of the Site are medical workers in the pediatric branch, junior medical workers, as well as medical workers related to the Academy’s field of activity, students of pediatric faculties of medical higher education institutions.
3.6. The use of the Site’s capabilities by Participants should be carried out with the aim of deepening the knowledge of such Participants about pediatrics in Ukraine (treatment methods, scientific discoveries, scientific and practical works, etc.). The Academy is not responsible for any attempts to obtain income (profit) of Site Participants who use information from the Site to meet their social-economic needs.
3.7. All rights to information from the Site belong to the Academy and/or its partners (in case of agreed publication of information from such partners).
4. Obligations of the Academy:
4.1. To provide Services under the terms of this Offer.
4.2. Keep the information and statements (including personal data) provided by the Participant to fulfill the terms of this Offer within the limits of the current functional legislation in the field of personal data protection.
5. Procedure of payment and use of Donations
5.1. The donation is used in accordance with the goals defined by the Organization’s regulations, the Law of Ukraine “About Public Associations” and the Tax Code.
5.2. The participant can pay the membership fees in the following ways: with the usage of a bank transfer of money to the Organization’s current account specified in the invoice, including the usage of Internet banking; by credit or debit card of any type supported by the payment acceptance system used by the Organization; in any other way as agreed with the Organization.
5.3. The activity of the TO is not aimed at making a profit.
5.4. If the project will not implemented, the charitable contribution (aid) remains in the fund account and is directed to the implementation of other social projects or products.
5.5. A person donating to a specific project gives consent to their redistribution/use in other projects (for example, if the fundraiser is closed or not relevant). The payer (donor, benefactor) agrees that the amount of the donation cannot be returned to the payer (donor, benefactor) under any circumstances.
A person who has lost donations to a specific project gives his consent to the redistribution/use in other projects (for example, fundraising is closed or not relevant).
5.6. The Benefactor agrees that, in accordance with the Law of Ukraine “On Charitable Activities and Charitable Organisations”, the TO may use part of the funds received from the collection of membership fees from the Benefactors to finance their administrative expenses. The amount of expenses for the maintenance of the O (administrative expenses of the Fund) cannot exceed 20% of its budget in the current year. All other funds raised will be spent for educational purposes and other activities provided for by the Organization’s Charter. The collection period is 1 year.
5.7. The cost of membership fees is determined by the Academy independently and is indicated on the organization’s website. All prices for goods and services are indicated on the website in hryvnias, including VAT:
for doctors – UAH 500 for 1 calendar year
for nurses/medical assistants – UAH 300 for 1 calendar year
for intern doctors and students – UAH 100 for 1 calendar year.
6. Rights and obligations of the participant. Prohibitions for the participant
6.1. The Participant has the right to:
6.1.1. Contact the Academy for information on Academy Services, terms of their provision and the terms of this Offer at the email address specified on the Site.
6.1.2. Receive any of the offered Academy Services under the terms of this Offer.
6.1.3. Refuse to receive the Service before the moment of its payment.
6.2. Responsibilities of the Participant:
6.2.1. Before accepting the Offer, familiarize themselves with its current conditions.
6.2.2. Fulfill the conditions of this Offer.
6.2.3. Ensure timely attendance to receive the Service.
6.3. The Participant is prohibited from:
6.3.1. Distributing video and audio recordings of the Service in any way, unless specified otherwise in the Event description.
6.3.2. Distribute Service materials in the form of transcription, i.e. translation of audio and video materials into text format, and/or translation into other languages.
6.3.3. For commercial purposes, use the information received from the Academy by transferring or spreading knowledge and basics without prior agreement with the Academy.
6.3.4. Use the information received from the Academy, including (without limitation) for the purpose of creating a similar and/or competitive service, or for the purpose of obtaining commercial or financial benefit without prior agreement with the Academy.
6.3.5. Take actions aimed at violating the terms of this Offer.
6.3.6. Transfer and/or provide access to the Webinar to any third parties, excluding the terms of this Offer.
6.3.7. Allow the spreading of unreliable, false information, information that disgraces the honor, dignity, business reputation of the Academy, lecturers and other people, as well as information that provokes and calls for inter-ethnic, ethnic racial intolerance, enmity, war, change of the state system countries, information, the distribution of which is prohibited by the current legislation of Ukraine and the norms of international law, depending on the territory of the provision of Services.
6.3.8. To carry out other actions not provided for in the Offer, but which contain the composition of a criminal or administrative offense, or violate the rights and legitimate interests of the Academy, other Participants and/or third parties.
7. Responsibility of the parties and resolution of disputes
7.1. The organization is responsible for violating the terms of this Agreement and using donations contrary to the procedure established by this Contract, in accordance with the current legislation of Ukraine.
7.2. All disputes, disagreements or claims arising from this Agreement or in connection with it, including those related to its implementation, violation, termination or invalidity, are subject to resolution in the appropriate court in accordance with international and Ukrainian substantive and procedural law.
8. Other conditions
8.1. All business information between the Academy and the Participant is considered confidential, including, but not exclusively, information about the Company, Participants, third parties, technology.
8.2. In compliance with the provisions of the Law of Ukraine “On Protection of Personal Data”, the Participants are informed:
8.2.1. The Academy is the owner and administrator of the Participants’ personal data.
8.2.2. Personal data of Participants is processed for the purpose of providing Services, tax relations and relations in the field of accounting, as well as for the purpose of fighting against money laundering (AML) and compliance with the client identification procedure.
8.2.3. For the purpose of processing personal data, which is specified in clause 8.2.2. of this Offer, the name, surname, patronymic, passport data, contact phone number, e-mail address, registration number of the taxpayer’s registration card, occupation, profession, profile data, registration address can be processed.
8.2.4. The following actions will be applied to personal data: collection, accumulation, storage, adaptation, change, renewal, use and distribution (distribution, implementation, transfer), depersonalization, destruction of personal data.
8.2.5. Personal data of the Participants without their separate consent and/or notification may be transferred to third parties for the purpose. In addition, the transfer of the personal data of the Participants to third parties without the consent of the subject of personal data or a person authorized by him is allowed in the cases defined by the Law of Ukraine “On the Protection of Personal Data”, and only (if necessary) in the interests of national security, economic well-being and person’s rights.
8.2.6. Participants’ personal data will be processed from the moment of receipt and throughout the Academy’s activity, after which they will be destroyed by the Academy in accordance with the expiration of the personal data storage period. Personal data of the Participants will be stored for the period provided by the legislation of Ukraine for the purpose.
8.2.7. Participants may withdraw their consent to the processing of their personal data by sending a written request to the Academy, but at the same time lose the right to receive Services.
8.2.8. Participants have all the rights provided for in Article 8 of the Law of Ukraine “On the Protection of Personal Data”.
8.2.9. By receiving the Services, each Participant gives the Academy consent to the processing of his personal data.
